Me Lily Germain holds a Bachelor’s Degree and a B.A.in Political Science from Université Laval.

PROFILE

Member of the Barreau du Québec (Québec Bar Association) since 1996, Ms. Lily Germain is specialized in business, commercial and employment law. She acts as legal counsel in mergers and acquisitions and venture capital financing. Her practice involves drafting and negotiating various commercial agreements. She also advises clients on securities matters and acts before the regulatory securities authorities with respect to various files. She also advises clients on matters such as non-competition and non-solicitation of clients and employees obligations, transfer of employees in the context of mergers and acquisitions, termination of employment, termination notices, golden parachutes, drafting of employment agreements and stock option and stock purchase plans.

Before joining Morency, Lily Germain practised during several years in business law, securities and employment law at one of the major Canadian law firm.

Ms. Germain is co-author of “Les Golden Parachutes: Atterrissage parfois soudain” Développements récents en droit du travail, Service de la formation permanente, Barreau du Québec, Les éditions Yvon Blais inc., 1999.She is also co-author of “Executives and Managers: Their Rights and Duties” Buttersworth, 1997. Ms. Germain also published articles on employment law matters in “LEXPERT” in collaboration with Edward Aust
